1. Acceptance of Terms

By accessing, registering for, or using Lexiom ("Lexiom" or the "Service")—provided by LEXIOM TECHNOLOGIES INC. ("we," "us," or "our")—you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and us.

If you are using the Service on behalf of a company, organization, or other entity ("Entity"), you represent and warrant that you have the authority to bind that Entity to these Terms. In such cases, "you" and "your" refer to both you and the Entity.

We may update these Terms from time to time (see Section 13). Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes. If you do not agree to these Terms (or any updates), you must immediately cease using the Service.

2. Description of the Service

Lexiom is an AI-powered recruiting platform designed to assist users in identifying and engaging with potential job seekers. Key features include:

  • Job Seeker Search: Searching online for candidates based on your specified needs (e.g., role, industry, skills) and providing candidate information (including contact details and LinkedIn profiles).
  • AI-Powered Outreach: Generating personalized email and LinkedIn outreach content using artificial intelligence.
  • Gmail Integration: Binding your Gmail account to enable two specific recruiting functions: (a) sending outreach emails to candidates on your behalf via gmail.send; and (b) reading the body of candidate reply emails via gmail.readonly, solely to detect candidate intent (e.g., interest in a role, declining an offer, or requesting a reschedule) and update your recruiting pipeline. This Gmail access is strictly limited to threads initiated by Lexiom outreach and is handled in full compliance with the Google API Services User Data Policy. Gmail data is never used for AI model training, advertising, or any purpose beyond the recruiting workflow described above.
  • LinkedIn Integration: Binding your LinkedIn account to access candidate networks and enable LinkedIn-based outreach.
  • Account Management: Maintaining a user account to track searches, save candidates, and manage outreach activity.

We reserve the right to modify, suspend, or discontinue any feature of the Service (temporarily or permanently) with reasonable notice where feasible, including for maintenance, technical updates, or legal compliance. We may also limit or restrict access to the Service for users who violate these Terms or applicable law.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher).
  • Have the legal capacity to enter into a binding agreement.
  • Not be prohibited from using the Service by applicable law or a prior violation of these Terms.

If you are using the Service on behalf of an Entity, the Entity must be a legally registered business or organization, and you must comply with all internal policies of the Entity related to data use and hiring.

4. User Account

4.1 Account Registration

To access most features of the Service, you must register for an account using a valid email address and create a secure password. You agree to:

  • Provide accurate, complete, and up-to-date information during registration (e.g., your name, Entity name, job title).
  • Update your account information promptly if it changes.
  • Keep your password confidential and secure. You are solely responsible for all activity conducted under your account, including unauthorized use.
  • Notify us immediately at marketing@lexiom.ai if you suspect unauthorized access to your account.

4.2 Account Usage Restrictions

  • Your account is personal to you (or your Entity) and may not be transferred, shared, or sold to any third party without our prior written consent.
  • You may not use another user's account without their explicit permission and our approval.
  • We reserve the right to deactivate or terminate inactive accounts (e.g., accounts not used for 12 consecutive months) after providing reasonable notice.

4.3 Disconnecting Third-Party Integrations

You may disconnect your Gmail or LinkedIn account from the Service at any time via Settings → Gmail Integration → Disconnect (or the equivalent for LinkedIn). You may also revoke Lexiom's Google access directly from your Google Account permissions page. Disconnecting will immediately stop Lexiom from accessing your Gmail data; any cached data will be deleted within 30 days.

5. User Obligations

You agree to use the Service in compliance with these Terms and all applicable laws, regulations, and industry standards (e.g., GDPR, CCPA, PDPA). Specifically, you will not:

  • Misuse Candidate Data: Use candidate information for purposes unrelated to legitimate hiring or recruitment, or share candidate data with third parties without the candidate's consent where required by law.
  • Provide False Information: Submit false, misleading, or fraudulent data during registration, in search queries, or in AI-generated outreach content.
  • Violate Third-Party Rights: Infringe on the intellectual property, privacy, or other legal rights of Lexiom, candidates, or third parties.
  • Interfere with the Service: Attempt to hack, disrupt, or damage the Service, or bypass security measures.
  • Engage in Harmful Activity: Use the Service to send spam, phishing messages, or harassing content; promote illegal activities; or discriminate against candidates based on protected characteristics.
  • Misuse Gmail Access: Attempt to use Lexiom's Gmail integration beyond its stated purposes (sending outreach emails and reading candidate reply intent). You may not attempt to access, export, or repurpose Gmail data obtained through the Service for any other purpose.

6. Intellectual Property Rights

6.1 Lexiom's Intellectual Property

All intellectual property rights in the Service—including software, algorithms, AI technology, branding (e.g., "Lexiom" name and logo), website content, and AI-generated templates—are owned by us or our licensors, and are protected by copyright, trademark, patent, and other intellectual property laws worldwide.

You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal or Entity's legitimate hiring purposes. This license does not give you ownership of any intellectual property in the Service; you may not copy, modify, distribute, sell, or reverse-engineer any part of the Service without our prior written consent.

6.2 User-Generated Content

You retain ownership of any content you submit to the Service (e.g., search criteria, feedback, or customizations to AI outreach content). By submitting this content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display this content solely to provide and improve the Service and to comply with legal obligations.

For the avoidance of doubt, Gmail message content accessed via the Gmail integration is not considered user-generated content for the purposes of this license and is not used to train, improve, or fine-tune any AI or machine learning model.

You warrant that your user-generated content does not infringe on any third-party rights and that you have the authority to grant the license above.

7. Third-Party Services and Google API Compliance

7.1 General Third-Party Services

The Service may integrate with or link to third-party services (e.g., LinkedIn, Gmail, cloud storage providers). These integrations are subject to the third party's terms of service and privacy policies. We do not control, endorse, or assume responsibility for the content, accuracy, or reliability of third-party services, or any loss or damage caused by your use of them. You are solely responsible for complying with third-party terms when using these integrations.

7.2 Gmail Integration — Scope and Restrictions

When you connect your Gmail account to Lexiom, you authorize us to access your Gmail data via the following Google OAuth scopes for the specific purposes stated:

  • auth/userinfo.email — To retrieve your Google account's primary email address for account binding and identification.
  • auth/userinfo.profile — To retrieve your basic Google profile information (name, profile picture) for display within Lexiom.
  • auth/gmail.send — To send recruiting outreach emails to candidates on your behalf directly from your Gmail account.
  • auth/gmail.readonly — To read the body of candidate reply emails (limited to threads initiated by Lexiom outreach) in order to automatically detect candidate intent and update your recruiting pipeline.

Lexiom's use of Gmail data is subject to the following strict restrictions, consistent with the Google API Services User Data Policy:

  • Gmail data is used only for the recruiting workflow purposes described above.
  • Gmail data is never used to develop, train, improve, or fine-tune any AI or machine learning model.
  • Gmail data is never used for advertising or any advertising-related purpose.
  • Gmail data is not shared with any third party except as strictly necessary to operate the Service (e.g., infrastructure providers bound by confidentiality obligations) or as required by law.
  • Lexiom employees and contractors do not read your Gmail content except with your explicit permission (e.g., to resolve a reported support issue) or as required by law.

You may revoke Gmail access at any time via Settings → Gmail Integration → Disconnect within Lexiom, or directly from your Google Account permissions page.

8. Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • Warranties of Merchantability: That the Service will meet your requirements or be suitable for a particular purpose.
  • Warranties of Fitness: That the Service will be uninterrupted, error-free, or secure.
  • Warranties of Accuracy: That candidate information, AI-generated content, or search results will be accurate, complete, or up-to-date.

We do not guarantee that the Service will identify all potential candidates or that AI-generated content will be effective in engaging candidates. You are responsible for verifying the accuracy of candidate data and AI content before using it.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING (BUT NOT LIMITED TO) LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM:

  • Your use or inability to use the Service.
  • Unauthorized access to or use of your account or data.
  • Errors, omissions, or inaccuracies in the Service.
  • Suspension or termination of your account.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE CLAIM.

This limitation of liability does not apply to damages caused by our gross negligence or willful misconduct, liability for personal injury or death resulting from our acts or omissions, or any other liability that cannot be excluded by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, officers, employees, and licensors from and against any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service (including any violation of these Terms or applicable law).
  • Your misuse of candidate data or AI-generated content.
  • Any breach of your warranties or obligations under these Terms.
  • Third-party claims related to your use of the Service (e.g., a candidate alleging you violated their privacy rights).

11. Termination

11.1 Termination by You

You may terminate these Terms and close your account at any time by following the account deletion process in the Service (under "Account Settings") or by contacting us at marketing@lexiom.ai. Upon termination, we will deactivate your account and cease providing access to the Service. We may retain your data for a reasonable period after termination to comply with legal obligations or resolve disputes. Any connected Gmail or LinkedIn integrations will be disconnected upon account termination, and Gmail data will be deleted within 30 days.

11.2 Termination by Us

We may terminate these Terms or suspend/terminate your account immediately without notice if:

  • You violate any provision of these Terms.
  • You engage in illegal or fraudulent activity related to the Service.
  • We are required to do so by law.
  • We discontinue the Service or a material feature of the Service.

Upon termination by us, you must immediately cease using the Service. We may delete or anonymize your data after termination, except as required by law.

12. Data Protection

We process your personal information and candidate data in compliance with our Lexiom Privacy Policy. By using the Service, you consent to the collection, use, and disclosure of data as described in the Privacy Policy.

You acknowledge that:

  • You are responsible for obtaining any necessary consent from candidates before using their data where required by law.
  • We may retain data for the periods outlined in the Privacy Policy.
  • Our use of Google API data (including Gmail data) complies with the Google API Services User Data Policy, including its Limited Use requirements, as further described in Section 7.2 of these Terms and Section 9 of our Privacy Policy.

13. Changes to These Terms

We may update these Terms to reflect changes in the Service, legal requirements, or business practices. When we make changes:

  • We will post the updated Terms on the Lexiom website and update the "Effective Date" at the top.
  • For material changes (e.g., new user obligations, changes to liability limits, or changes to how we use Gmail data), we will notify you via email or a prominent notice in the Service at least 7 days before the changes take effect.

Your continued use of the Service after the effective date of updated Terms confirms your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of laws principles.

14.2 Dispute Resolution

Before initiating any legal action, you agree to attempt to resolve disputes with us through good-faith negotiation by contacting us at marketing@lexiom.ai with a detailed description of the dispute.

If negotiations fail:

  • For Users in the EEA/UK: You may submit the dispute to a local alternative dispute resolution (ADR) body or lodge a complaint with your local data protection authority if the dispute relates to data protection.
  • For All Other Users: Any legal action arising from these Terms or the Service shall be filed exclusively in the courts of Delaware, USA, and you consent to the personal jurisdiction of these courts.

15. Miscellaneous

15.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service, superseding all prior or contemporaneous agreements, communications, and understandings (written or oral).

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision.

15.4 Assignment

You may not assign these Terms or your rights under them to any third party without our prior written consent. We may assign these Terms to a third party (e.g., in connection with a merger, acquisition, or asset sale) without your consent.

15.5 Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms if the failure is caused by circumstances beyond our reasonable control (e.g., natural disasters, cyberattacks, legal restrictions, or third-party service outages).
